CONDITIONS GÉNÉRALES DE VENTE VOLONTAIRE AUX ENCHÈRES PUBLIQUES FRAYSSE & ASSOCIÉS¹ agit comme opérateur de ventes volontaires de meubles aux enchères publiques régi par les articles L 312-4 et suivants du Code de commerce et l’Arrêté ministériel du 21 février 2012 définissant les obligations déontologiques des opérateurs de ventes volontaires². FRAYSSE & ASSOCIÉS a la qualité de mandataire du vendeur. Les rapports entre FRAYSSE & ASSOCIÉS et l’acquéreur sont soumis aux présentes conditions générales d’achat qui pourront être amendées par des avis écrits ou oraux avant la vente et qui seront mentionnés au procès-verbal de vente. La participation aux enchères sur place, par téléphone, par ordre d’achat ou par internet implique l’acceptation inconditionnelle des présentes conditions que vous devez lire attentivement avant la vente. Il est possible de porter les enchères sur le site Internet Drouot (www.drouot.com) et pour certaines ventes sur le site Interenchères (https://www.interencheres.com/), qui constituent des plateformes techniques permettant de participer à distance par voie électronique aux ventes aux enchères publiques ayant lieu dans des salles de ventes en présence du public (« ventes live »). L’utilisateur souhaitant participer à une vente aux enchères en ligne via la plateforme Drouot (www.drouot.com) ou via la plateforme Interenchères doit préalablement créer un compte sur l’un de ces sites et prendre connaissance et accepter, sans réserve, leurs conditions d’utilisation qui sont indépendantes et s’ajoutent aux présentes conditions générales de vente. Pour certaines ventes et notamment les ventes judiciaires aux enchères publiques ou les « ventes online », des conditions spéciales sont également applicables. Les acquéreurs potentiels doivent consulter les conditions particulières et publicités de chaque vente, disponibles auprès de l’étude et sur son site internet www.fraysse.net. 1 - Les biens mis en vente Les acquéreurs potentiels sont invités à examiner les biens pouvant les intéresser avant la vente aux enchères, et notamment pendant les expositions. FRAYSSE & ASSOCIÉS se tient à la disposition des acquéreurs potentiels pour leur fournir des précisions et des rapports sur l’état de certains lots dont l’estimation est supérieure à 1.000 euros. Les biens sont vendus dans l’état où ils se trouvent au moment de la vente et aucune réclamation après l’adjudication ne sera admise, l’acquéreur étant responsable de l’examen et de la vérification de l’état du bien avant la vente. Les mentions figurant au catalogue sont établies par la FRAYSSE & ASSOCIÉS et l’expert qui l’assiste et sont faites sous réserve des notifications et des rectifications annoncées au moment de la présentation du lot et portées au procès-verbal de la vente. Les mentions concernant le bien sont données en fonction de l’état des connaissances et l’état du bien à la date de la vente. Toute erreur ou omission ne saurait entraîner la responsabilité de FRAYSSE & ASSOCIÉS. Important : • Les mentions concernant la provenance et/ou l’origine du bien sont fournies sur indication du Vendeur et ne sauraient entraîner la responsabilité de FRAYSSE & ASSOCIÉS. • Les indications concernant les dimensions, les poids, les estimations, la documentation, les expositions, la provenance et l’historique ne sont données qu’à titre d’illustration et ne confèrent aucune garantie. • Les termes se référant à un auteur, à une date ou époque, ou à un lieu d’origine ont une signification précise quant au degré de certitude sur l’authenticité du bien. Il est possible que certains lots comprennent des pièces non originales suite à des réparations ou révisions. • L’absence de mention dans le catalogue, les rapports, les étiquettes, ou les annonces verbales d’une restauration, d’un accident ou d’un incident n’implique nullement que le lot soit en parfait état de conservation ou exempt de restauration, usures, craquelures, rentoilage ou autres imperfections. En outre, le ré-entoilage, le parquetage ou le doublage, ou toute autre mesure de conservation du bien, ne sont pas signalés. • Montres et horloges : l’état de fonctionnement et d’étanchéité n’est pas garanti. Les montres et horloges nécessitant un entretien, elles peuvent comporter des pièces qui ne sont pas d’origine, des réparations et restaurations qui ne sont pas signalés dans la description du lot. Aucun certificat n’est délivré. • Pierres précieuses : toute pierre précieuse est susceptible d’avoir subi un traitement d’amélioration de son apparence couramment employé et reconnu par les professionnels de la joaillerie (tel que la chauffe ou l’huilage). Aucune garantie n’est donnée quant au traitement éventuel d’une pierre ou l’absence de traitement, la couleur, la pureté et le poids même si un rapport de gemmologie a été établi. • Les estimations sont fournies par la Maison de Ventes et l’Expert à titre purement indicatif et ne confèrent aucune garantie. Elles ne peuvent être considérées comme impliquant la certitude que le bien sera vendu au prix estimé ou même à l’intérieur de la fourchette d’estimations. Les estimations ne comprennent pas les frais de vente, taxes et droits à charge de l’acquéreur. 2 – La participation aux enchères • Les acquéreurs potentiels sont invités à se faire connaître auprès de FRAYSSE & ASSOCIÉS, avant la vente, afin de permettre l’enregistrement de leurs données personnelles. Tout enchérisseur est censé agir pour son propre compte sauf justificatif préalable de sa qualité de mandataire pour le compte d’un tiers, accepté par FRAYSSE & ASSOCIÉS. A défaut de fournir un tel justificatif probant, la personne physique qui a porté les enchères et a été déclarée adjudicataire sera personnellement tenue, conjointement avec son mandant, de toutes les obligations incombant à l’acheteur. • Justificatifs à fournir par les personnes participant aux enchères : FRAYSSE & ASSOCIÉS, intermédiaire de vente, est assujettie aux obligations de lutte contre le blanchiment de capitaux et le financement du terrorisme en application des articles L-561-2 et s. du Code Monétaire et Financier. Il peut être exigé de tout enchérisseur et adjudicataire des justificatifs probants de leur identité (pièce d’identité) et/ou immatriculation (pour les personnes morales), de leur domicile ou siège social, du bénéficiaire effectif de la personne morale et de l’habilitation d’un représentant ou agent à porter les enchères au nom d’une personne morale privée ou publique, d’un tiers ou d’une indivision dont il peut être exigé les mêmes justificatifs. A défaut de fournir les justificatifs susmentionnés et le cas échéant les références financières et/ou dépôt de garantie demandés, FRAYSSE & ASSOCIÉS peut refuser la participation aux enchères ou annuler le contrat de vente aux torts et frais de l’adjudicateur. • FRAYSSE & ASSOCIÉS se réserve le droit de demander une référence financière et/ou un dépôt de garantie avant d’autoriser un acquéreur potentiel à participer aux enchères. Si le donneur d’ordre n’obtient pas le lot visé, FRAYSSE & ASSOCIÉS s’engage à détruire le chèque, les coordonnées bancaires ou l’empreinte de la carte bancaire ou à restituer la garantie. Si vous êtes adjudicataire d’un ou plusieurs lots, vous autorisez FRAYSSE & ASSOCIÉS en cas de retard de paiement ou d’annulation de la vente, à encaisser le chèque remis ou à utiliser vos informations bancaires pour procéder au paiement, partiel ou total, de vos acquisitions y compris les frais, taxes et droits à la charge de l’acheteur éventuellement majorés des frais de livraison et des intérêts de retard comme précisé ci-dessous (« Défaut de paiement »). • Le mode usuel pour enchérir consiste à être présent dans la salle. FRAYSSE & ASSOCIÉS se réserve d’interdire l’accès à la salle de vente ou la participation aux enchères de tout acquéreur potentiel pour justes motifs. • Tout enchérisseur peut enchérir par téléphone pour des lots dont l’estimation est supérieure à 1.000 Euros ou faire un ordre d’achat par écrit (quelle que soit l’estimation). Il devra remplir à cet effet au moins deux jours avant la vente un formulaire accompagné d’un relevé d’identité bancaire ou des coordonnées bancaires, ou d’une garantie sous forme d’un chèque signé à l’ordre de la SARL FRAYSSE & ASSOCIÉS ou d’une empreinte de carte bancaire signée par le donneur d’ordre d’un montant à hauteur de 30 % de l’estimation basse du ou des lot(s). Pour certaines ventes des garanties différentes peuvent être exigées. Si le donneur d’ordre n’obtient pas le lot visé, FRAYSSE & ASSOCIÉS s’engage à détruire le chèque, les coordonnées bancaires ou l’empreinte de la carte bancaire ou à restituer la garantie dans un délai de 72 heures après la vente. • Les enchères par téléphone sont enregistrées. Les enchérisseurs ne peuvent s’opposer à ces enregistrements et à leur utilisation pour la vérification des enchères et en cas de litige. Les enregistrements sont conservés jusqu’au règlement du prix, sauf contestation. • Les « ventes live » retransmises sur le site Drouot (www.drouot.com) en temps réel permettent aux enchérisseurs d’enchérir à distance pendant la vente. Les enchérisseurs souhaitant émettre un ordre d’achat à distance doivent s’inscrire préalablement et accepter les conditions d’utilisation de cette plateforme. • FRAYSSE & Associés se charge gracieusement des enchères par téléphone ainsi que des ordres d’achat. En aucun cas FRAYSSE & Associés ne pourra être tenue responsable d’un problème de liaison téléphonique ou d’un dysfonctionnement d’internet ou des plateformes Drouot ou Interenchères, ainsi que d’une erreur ou d’une omission dans l’exécution des ordres reçus. Les présentes conditions générales priment sur les conditions d’utilisation du service Drouot et Interenchères pour les enchères par internet. • Dans l’hypothèse de deux ordres d’achat identiques, c’est l’ordre le plus ancien qui aura la préférence. En cas d’enchères dans la salle pour un montant équivalent à un ordre d’achat, l’enchérisseur présent aura la priorité. 3 - Le déroulement des enchères et l’adjudication • FRAYSSE & ASSOCIÉS dirige la vente de façon discrétionnaire, en veillant à la liberté des enchères et à l’égalité entre l’ensemble des enchérisseurs, tout en respectant les usages établis. FRAYSSE & ASSOCIÉS se réserve de refuser toute enchère, d’organiser les enchères de la façon la plus appropriée, de déplacer certains lots lors de la vente, de retirer tout lot de la vente, de réunir ou de séparer des lots, ou de changer l’ordre des lots. • Dans l’hypothèse où un prix de réserve aurait été stipulé par le vendeur, FRAYSSE & ASSOCIÉS se réserve le droit de porter des enchères pour le compte du vendeur jusqu’à ce que le prix de réserve soit atteint. Le prix de réserve ne pourra pas dépasser l’estimation basse figurant dans le catalogue ou modifiée publiquement avant la vente. Le prix de réserve est confidentiel et ne correspond pas au prix de départ des enchères. • FRAYSSE & ASSOCIÉS décide discrétionnairement du prix de départ des enchères et du niveau des paliers des enchères. En l’absence de prix de réserve et à défaut d’offre, FRAYSSE & ASSOCIÉS peut décider discrétionnairement d’annoncer des enchères descendantes, puis en cas d’offre de poursuivre des enchères montantes. • Sous réserve de la décision de la personne dirigeant la vente pour FRAYSSE & ASSOCIÉS, le plus offrant et dernier enchérisseur sera déclaré adjudicataire (acheteur) par le « coup de marteau » et suivi de l’indication verbale « adjugé », pourvu que le prix d’adjudication soit égal ou supérieur à l’éventuel prix de réserve. Dès l’adjudication prononcée, le contrat de vente est formé entre le vendeur et l’adjudicataire et le bien est sous l’entière responsabilité de l’adjudicataire. Toutefois en cas de contestation FRAYSSE & ASSOCIÉS, par une décision discrétionnaire ne pouvant faire l’objet d’aucune contestation, peut désigner l’adjudicataire, annuler la vente, ou de remettre le lot aux enchères immédiatement ou dans une vente ultérieure. En cas de double enchère reconnue effective par le commissaire-priseur, le lot sera immédiatement remis en vente, toute personne intéressée pouvant concourir à la deuxième mise en adjudication. • Le délai de rétractation (L 121-18 du Code de la Consommation) n’est pas applicable aux ventes aux enchères publiques, même pour les personnes ayant enchéri à distance. • FRAYSSE & ASSOCIÉS reproduit sur le procès-verbal de vente et sur le bordereau d’adjudication les renseignements qu’aura fournis l’adjudicataire avant la vente. Toute fausse indication engagera la responsabilité de l’adjudicataire. 4 – Le Paiement du prix et frais d’adjudication, taxes et droits • La Vente est faite au comptant et en Euros. Toute personne qui se porte enchérisseur s’engage à régler personnellement et immédiatement le prix d’adjudication augmenté des frais à la charge de l’acquéreur et de tous taxes et droits qui pourraient être exigibles. Un bordereau d’adjudication valant facture et preuve du contrat de vente sera remis à l’adjudicataire. L’adjudicataire devra immédiatement donner ou confirmer son identité, son domicile et ses références bancaires. FRAYSSE & ASSOCIÉS se réserve le droit de refuser le paiement par un tiers. • En sus du prix de l’adjudication (« prix marteau »), l’adjudicataire (acheteur) devra acquitter par lot la commission acheteur. Le tarif de la commission standard est de 27 % TTC (soit 22,5 % HT) et pour les livres 22 % TTC (soit 20,85 % HT).³ Le tarif de la commission pour les biens adjugés sur DROUOT ou INTERENCHÈRES lors des « ventes aux enchères live » est de 29 % TTC et pour les livres 24% TTC). • L’adjudicataire devra également payer dans certains cas les taxes ou droits suivants : • La TVA à l’importation sur les lots en admission temporaire en France en provenance de pays tiers à l’Union européenne indiqués au catalogue par le symbole *. La TVA à l’importation est actuellement 5,5 % du prix d’adjudication pour les œuvres d’art et objets de collection et d’antiquité. • La TVA (20 % ou 5,5%) sur le prix d’adjudication si le bien est vendu en-dehors du régime de la marge par des professionnels établis dans l’Union européenne indiqué au catalogue par le symbole Ø. • Le droit de suite pour les biens indiqués au catalogue par le symbole ∆ : Le droit de suite au profit d’artistes décédés depuis moins de 70 ans ou leurs héritiers (droits d’auteur) applicable à partir d’un prix d’adjudication de 750 €. Le taux actuellement en vigueur est de : 4% entre 0 et 50.000 €, 3% entre 50.000,01 € et 200.000 €, 1% entre 200.000,01 € et 350.000 €, 0,5% entre 350.000,01 € et 500.000 €, 0,25% pour la tranche au-delà, de 500.001 €, avec un plafond de 12.500 €. FRAYSSE & ASSOCIES peut retenir le droit de suite jusqu’à expiration du délai de prescription du recouvrement de ce droit. FRAYSSE & ASSOCIÉS reversera le droit de suite à l’organisme percepteur. • L’adjudicataire pourra s’acquitter par les moyens suivants : - en espèces : jusqu’à 1.000 Euros frais et taxes compris pour les personnes domiciliées en France, jusqu’à 15.000 Euros frais et taxes compris pour les ressortissants étrangers non professionnels sur présentation de leurs papiers d’identité et un justificatif du domicile fiscal ; - par chèque avec présentation obligatoire d’une pièce d’identité en cours de validité : en cas de remise d’un chèque ordinaire, seul l’encaissement du chèque vaudra règlement. - par virement bancaire : les frais bancaires sont à charge de l’adjudicataire et lui seront refacturés - par carte de crédit : VISA et MasterCard uniquement : tous frais de transaction ou de traitement liés au paiement par carte de crédit seront refacturés à l’acheteur. - les chèques étrangers ne sont pas acceptés. Si vous êtes adjudicataire en ligne, vous autorisez la société FRAYSSE & ASSOCIÉS à utiliser votre empreinte carte bancaire pour procéder au paiement, partiel ou global, de vos acquisitions, y compris les frais, taxes et droits à la charge de l’acheteur. • Remboursement ou annulation de la TVA : les acheteurs professionnels établis dans un autre État membre de l’Union européenne peuvent obtenir l’annulation ou le remboursement de la TVA, à condition de fournir à l’appui de la demande leur n° de TVA intercommunautaire et la preuve de l’exportation du bien vers cet autre État membre selon les règles en vigueur et ceci dans un délai maximal d’un mois à compter de la vente. FRAYSSE & ASSOCIÉS facturera 50 € de frais de gestion qui seront déduits du montant de la TVA à rembourser. 5 - Retrait des achats et transfert du droit de propriété et des risques • Aucun lot ne sera remis aux acquéreurs avant acquittement de l’intégralité du prix d’adjudication, la commission d’achat, les taxes et droits et autres frais dus. L’objet adjugé restera la propriété du vendeur jusqu’à complet paiement des sommes dues. • En cas de paiement par chèque non certifié ou par virement, la délivrance des objets sera être différée jusqu’à l’encaissement définitif. • Dès l’adjudication, les objets sont placés sous l’entière responsabilité de l’acquéreur. Il appartiendra à l’adjudicataire de faire assurer le lot dès l’adjudication. Il ne pourra tenir FRAYSSE & ASSOCIÉS responsable en cas de vol, de perte ou de dégradation de son lot après l’adjudication, ou encore en cas d’indemnisation insuffisante par son assureur. • Pour les ventes ayant lieu à l’Hôtel Drouot, les objets sont à retirer au magasinage de l’Hôtel Drouot ou à défaut de retrait le jour de la vente au garde-meubles TSE (Transports services enchères, 44 Rue Louis David, 93170 Bagnolet – Tel 01.49.93.02.90 selon leurs tarifs en vigueur). Seuls les objets fragiles ou de très grande valeur seront à retirer dans un délai maximal de 7 jours dans les locaux de FRAYSSE & Associés ou au garde-meubles spécialisé dont les coordonnées seront communiquées à l’adjudicataire. • Dans tous les cas les frais de stockage et de transport sont sous l’entière responsabilité et à la charge de l’acheteur et lui seront facturés directement soit par l’Hôtel Drouot, soit par la société de garde-meubles, selon leurs tarifs en vigueur. Le transport et le magasinage des objets n’engage en aucun cas la responsabilité de la Maison de Ventes. FRAYSSE & ASSOCIÉS est en droit de facturer à l’acquéreur les frais de stockage, de manutention et de transport exposés pour le compte de l’acheteur depuis la date de l’adjudication. 6 – Défaut de paiement • A défaut de paiement par l’adjudicataire dans un délai de trois mois à compter de la date de l’adjudication et après mise en demeure restée infructueuse, le bien est remis en vente à la demande du vendeur sur folle enchère de l’adjudicataire défaillant sans préjudice de dommages et intérêts dus par ce dernier. • Si le vendeur ne formule pas cette demande dans un délai de trois mois à compter de l’adjudication, la société FRAYSSE & ASSOCIÉS dispose de tout mandat pour agir en son nom et pour le compte du vendeur à l’effet, au choix du vendeur ou de la société FRAYSSE & ASSOCIÉS, soit de déclarer la vente résolue de plein droit, soit de poursuivre l’adjudicataire en exécution et paiement de ladite vente, sans préjudice de dommages et intérêts dus par l’adjudicataire défaillant. • A défaut de paiement des sommes dues par l’adjudicataire dans le délai de trois mois ou en cas de résolution de la vente, les frais afférents à la vente restent dus par l’adjudicataire. • FRAYSSE & ASSOCIÉS est en droit d’encaisser le chèque remis à titre de garantie ou de prélever sur le compte bancaire de l’adjudicataire, la somme correspondant à la garantie exigée en application des conditions de vente. Cette somme est acquise au prorata au vendeur du lot et à FRAYSSE & ASSOCIÉS à titre d’indemnisation partielle de leurs préjudices et pertes causés par la défaillance et les fautes de l’adjudicataire, sans préjudice de dommages et intérêts complémentaires. • Dans tous les cas FRAYSSE & ASSOCIÉS se réserve le droit de réclamer à l’adjudicataire défaillant : - des intérêts au taux directeur semestriel au 1er janvier et au 1er juillet (REFI) de la Banque Centrale européenne majoré de 10 points ; - le remboursement des coûts supplémentaires engendrés par sa défaillance, y compris les frais de stockage, de transport, de catalogue, les frais de recouvrement forfaitaires légaux et complémentaires,, etc ; - les frais d’adjudication restant dus sur la vente annulée et la perte soufferte par FRAYSSE & ASSOCIÉS correspondant aux frais vendeur ; - le paiement de la différence entre le prix d’adjudication initial et • soit le prix d’adjudication sur folle enchère s’il est inférieur, ainsi que les coûts générés par les nouvelles enchères, • soit l’estimation basse, si la vente est résolue de plein droit. • FRAYSSE & ASSOCIÉS se réserve également de procéder à toute compensation avec des sommes dues par l’adjudicataire défaillant et/ou d’exercer un droit de rétention sur d’autres biens que l’adjudicataire a achetés dans la même vente ou a confié pour vente à FRAYSSE & ASSOCIÉS. • FRAYSSE & ASSOCIÉS se réserve d’exclure de ses ventes futures, tout adjudicataire qui aura été défaillant ou qui n’aura pas respecté les présentes conditions générales d’achat. 7 – Législation applicable aux biens culturels et espèces protégées • Droit de préemption : L’Etat peut exercer, sur toute vente publique d’œuvres d’art ou sur toute vente de gré à gré d’œuvres d’art réalisée dans les conditions prévues par l’article L. 321-9 du code de commerce, un droit de préemption par l’effet duquel il se trouve subrogé à l’adjudicataire ou à l’acheteur. La déclaration, faite par l’autorité administrative, qu’elle entend éventuellement user de son droit de préemption, est formulée, à l’issue de la vente, entre les mains de l’officier public ou ministériel dirigeant les adjudications ou de l’opérateur habilité à organiser la vente publique ou la vente de gré à gré. FRAYSSE & ASSOCIÉS ne pourra être tenu pour responsable des conditions de la préemption par l’Etat français. • Biens culturels et trésors nationaux : L’exportation de certains biens culturels est soumise à l’obtention d’un certificat de libre circulation pour un bien culturel et à des déclarations en douanes. Le certificat peut être refusé à un bien considéré comme trésor nationaux par les autorités compétentes. FRAYSSE & Associés et/ou le vendeur ne sauraient en aucun cas être tenus responsables en cas de refus des autorisations de sortie du territoire français par les autorités. Le retard ou le refus d’obtention des autorisations d’exportation ne peut en aucun cas justifier ni l’annulation ou la résolution de la vente, ni un retard de règlement des sommes dues. • Objets composés de matériaux provenant d’espèces protégées : Les acheteurs sont informés que de nombreux pays exigent un permis spécial (permis CITES) ou (même avec un tel permis donné par un autre Etat) interdisent l’importation, l’exportation, la détention ou encore le transport d’objets composés entièrement ou en partie (quel que soit le pourcentage) de matériaux provenant d’espèces de la faune et de la flore en voie de disparition et/ou protégées (notamment des objets comportant de l’ivoire, de l’écaille de tortue, de la peau de crocodile ou d’autruche, et de certaines espèces de corail, ainsi que du bois de rose du Brésil, etc.). L’acheteur doit se renseigner avant la vente sur les conditions d’importation de tels biens dans l’État de destination. The present general sales conditions prevail over the conditions of use of Drouot and Interenchères for online bids. • In case of two identical purchase orders, the purchase order made first shall have priority. In case a bid is made in the sales room for an equivalent amount of a purchase order, the bidder who is present in the sales room shall have the priority. 3 - The auction process and the adjudication • FRAYSSE & ASSOCIÉS conducts the auction sales at their discretion and ensures that the liberty of auction is respected as well as the equality between all bidders, in accordance with established practices. FRAYSSE & ASSOCIÉS reserves the right to refuse any bid, to organize the bidding in the most appropriate manner, to withdraw any lot from the sale, to combine, to divide lots or change their order. • In case the seller has stipulated a reserve price, FRAYSSE & Associés reserves the right to bid on behalf of the seller until the reserve price has been reached. The reserve price cannot exceed the minimum estimate mentioned in the sale catalogue or modified publicly before the sale. The reserve price is confidential and does not correspond to the starting price of the auction. • FRAYSSE & ASSOCIÉS has the discretion to decide on the starting price of the auction and the level of the auction increments. In the absence of a reserve price and in the absence of a bid, FRAYSSE & ASSOCIÉS may decide at its own discretion to announce downward bids, and in the event of a bid to continue with upward bids. • Subject to the decision of the person conducting the sale on behalf of FRAYSSE & ASSOCIÉS, the highest and last bidder will be declared the successful bidder (buyer) by the «blow of the hammer» followed by the verbal indication «adjudicated», whether the hammer price is equal to or higher than the possible reserve price. As soon as the adjudication is pronounced, the sale contract is formed between the seller and the successful bidder and the goods are under the full responsibility of the successful bidder. However, in the event of a dispute, FRAYSSE & ASSOCIÉS, by a discretionary decision which cannot be contested, may designate the successful bidder, cancel the sale, or put the lot back up for auction immediately or in a later sale. The buyer will be hold liable for any false declaration. 4 – Payment of the hammer price and auction fees, taxes and duties • The Sale is made in cash and in Euros. The buyer commits him/herself to pay personally and immediately the hammer price and the fees and costs which are at his/her expense and any taxes and duties which could be due. A bill of sale valid as an invoice and proof of the sale contract will be given to the successful bidder. The buyer will have to give or confirm immediately his/her identity, domicile and bank references. • In addition to the hammer price, the buyer will have to pay for each lot the following fees : The standard rate is 27 % including VAT (22,5 % without VAT) and for books 22 % including VAT ( 20,85% without VAT)³. The commission rate for goods sold on DROUOT or INTERENCHÈRES during «live auctions» is 29% including tax and for books 24% including tax). • The Buyer shall also pay the following taxes or duties, if any: - Import VAT on lots temporarily admitted to France from countries outside the European Union is indicated in the catalog by the symbol *. The import VAT is currently 5.5% of the auction price for works of art, collectors’ items and antiques. - VAT (20% or 5.5%) on the auction price if the item is sold outside the margin scheme by professionals established in the European Union, indicated in the catalog by the symbol Ø - The right of resale for the goods indicated in the catalog by the symbol ∆: The resale right for the benefit of artists who have been dead for less than 70 years or their heirs (copyright) applicable from an auction price of 750 €. The rate currently in force is : 4% between 0 and 50,000 €, 3% between 50,000.01 € and 200,000 €, 1% between 200,000.01 € and 350,000 €, 0.5% between 350,000.01 € and 500,000 €, 0.25% for the bracket beyond, of 500,001 €, with a ceiling of 12,500 €. FRAYSSE & ASSOCIES may withhold the droit de suite until the expiration of the statute of limitations for the recovery of this right. FRAYSSE & ASSOCIÉS will pay the resale right to the collecting agency. • The buyer may pay by the following means: - Cash: maximum 1,000 Euros including fees and costs for French residents, maximum 15,000 Euros including fees and taxes for non professional foreigners upon presentation of their identity papers and a proof of their fiscal residence; - By check upon presentation of identity papers currently valid: in case of payment with a non certified check, only the cashing of the check is considered to be payment - By bank transfer: all costs and fees are for the buyer and will be invoiced - By credit card: VISA and MasterCard only : Any transaction or processing fees associated with credit card payments will be billed to the buyer. - Foreign checks are not accepted. FRAYSSE & ASSOCIÉS will deduct 50 € of management fees from the amount of VAT to be refunded. 5 – Collecting of purchases and transfer of property right and risks • No lot shall be delivered to buyers before the full payment of fees, costs, tax and duties which are due. The auctioned lot will remain the property of the seller until full payment of the amounts due. • In case of payment with a non certified check or by bank transfer, the delivery of the goods shall be differed until final cashing of the amounts. • From the moment of purchase on auction, the goods are under the entire responsibility of the buyer. The lot should to be insured by the buyer immediately after the purchase. The buyer will have no recourse against FRAYSSE & ASSOCIÉS in case of theft, loss or deterioration of the lot after the purchase, or if the compensation he will receive from the insurer would be insufficient. • For sales at the Hôtel de Drouot, the lots shall be collected at the storage place of the Hôtel Drouot or in the absence of withdrawal on the day of the sale at the furniture storage TSE (Transports services enchères, 44 Rue Louis David, 93170 Bagnolet - Tel 01.49.9302.90 according to their rates in force). Only fragile or very valuable items shall be collected within a delay of 7 days at the premises of FRAYSSE & Associés or at the specialized warehouse of which the address shall be given to the buyer. • In any event, all costs for storage and shipping are under the entire responsibility and at the expense of the buyer and will be billed directly either by the Hôtel Drouot, either by the warehouse, according to their rates in effect. The Auction house cannot be hold liable for storage of goods. FRAYSSE & ASSOCIÉS may invoice the buyer for costs of storage, handling and shipping incurred on behalf of the buyer since the date of the sale. 6 – Default of Payment • In case the buyer does not pay within a delay of three months from the date of auction and after a formal notice remained unsuccessful, on the request of the seller the item will be put on sale again on irresponsible bidding by the defaulting bidder (« folle enchère ») without prejudice to the damages due by the latter. • If the seller does not make this request within three months from the date of the auction, FRAYSSE & ASSOCIÉS is empowered to act in the name and on behalf of the seller in order, at the seller’s or FRAYSSE & ASSOCIÉS’ discretion, either to declare the sale automatically cancelled or to sue the successful bidder for the execution and payment of the said sale, without prejudice to any damages due from the defaulting bidder. • In case the Buyer does not pay all amounts due within a delay of three months or in case of annulment of the sale by a Court decision, auction fees remain due by the Buyer. • In such case FRAYSSE & ASSOCIÉS is authorized to cash the check given as a guarantee or to charge the bank account of the defaulting Buyer with the amount corresponding to the guarantee required in application of the sales conditions. The amount will be affected pro rata to the Seller and to FRAYSSE & ASSOCIÉS to indemnify totally or partially their losses caused by the failure of the Buyer, without prejudice of complementary indemnification due. • In any event, FRAYSSE & ASSOCIÉS reserves its right to claim from the defaulting buyer -Interests equal to the key rate of the European Central Bank on the 1st of January or July, increased by 10 points ; - The reimbursement of extra costs resulting from the failure to pay, including storage, transport, catalogue, legal fixed recovery costs and any additional recovery costs , etc. …; - Buying fees and costs and the loss corresponding to the Seller’s fees and costs suffered by FRAYSSE & ASSOCIÉS; - The payment of the difference between the initial hammer price and • either the hammer price of the re-sale on « folle enchères » if it is lower, as well as the costs relating to the re-sale, • or the low estimate of the item, if the sale is rescinded as of right. • FRAYSSE & ASSOCIÉS also reserves its right to make compensation by offsetting any amounts due by the defaulting seller and/or to exercise a right of retention on other goods that the successful bidder has purchased in the same sale or has entrusted for sale to FRAYSSE & ASSOCIÉS. • FRAYSSE & ASSOCIÉS reserves its right to exclude from any of its future sales, a defaulting buyer or any bidder who does not comply with the present general sale conditions. 7 – Legislation concerning Cultural Goods • The French State is entitled to exercise a pre-emption right on art works pursuant to the rules set forth in Article L 321-9 of the Code of Commerce, right by which the State is subrogated to the buyer. The delay or refusal to obtain export authorizations can in no case justify either the cancellation or the resolution of the sale, nor a delay in the payment of the sums due. • Items composed of materials from protected species: Buyers are advised that many countries require a special permit (CITES permit) or (even with such a permit from another country) prohibit the import, export, possession, or transportation of items made entirely or in part (regardless of percentage) of materials from endangered and/or protected species of fauna and flora (including items containing ivory, tortoise shell, crocodile or ostrich skin, and certain species of coral, as well as Brazilian rosewood, etc.) ). The description of goods are made in accordance with the knowledge available and the condition of the good at the date of the sale and FRAYSSE & Associés cannot be hold liable for any error or omission. Important: • The description concerning the provenance and/or the origin of the item is given upon indications from the seller and FRAYSSE & Associés cannot not be hold liable for any error, omission or false declaration. • The indication of dimensions, weight, estimates, documentation, expositions, provenance and historical background are given for illustrative purpose and do not provide any guarantee. • Images : the colors of works in the catalogue and/or on the internet site may differ because of the printing and digitalization process. • The absence of statements in the catalogue, condition reports, on labels or in oral statements relating to a restoration, mishap or harm, does not imply that the item is in a perfect state of condition, nor that it is exempt from any restoration, wear, cracks, relining or other defects. They cannot be considered as a giving the certainty that the item will be sold for the estimated price or even within the range of estimates. Estimates do not include selling expenses, taxes and duties payable by the buyer. 2 – Participation in Auction • Prospective buyers are invited to make themselves known to FRAYSSE & ASSOCIÉS before the sale, so as to have their personal identity data recorded. Any bidder is deemed acting on his own behalf except when prior notification, accepted by FRAYSSE & ASSOCIÉS, is given that he acts as an agent on behalf of a third party. In the absence of such proof, the person who carried the bid and was declared the successful bidder will be personally liable, together with his principal, for all the obligations incumbent on the buyer. • Proofs to be provided by the persons participating in the auctions: FRAYSSE & ASSOCIÉS, as a sales intermediary, is subject to obligations concerning the fight against money laundering and the financing of terrorist organizations in accordance with articles L 621-2 and f. of the French Monetary and Financial Code. All bidders and buyers may be required to provide proof of their identity (identity card) and/or registration (for legal entities), their domicile or registered office, the beneficial owner of the legal entity and the authorization of a representative or agent to bid on behalf of a private or public legal entity, a third party or an undivided interest, from whom the same proof may be required. If the above-mentioned documents are not provided, FRAYSSE & ASSOCIÉS may refuse to participate in the auction or cancel the sale contract at the expense of the buyer. • FRAYSSE & ASSOCIÉS reserves the right to request a financial reference and/or a guarantee deposit before authorizing a potential buyer to participate in the auction. If the buyer does not obtain the lot, FRAYSSE & ASSOCIÉS will destroy the check, the bank details or the credit card imprint or return the guarantee. If you are the successful bidder for one or more lots, you authorize FRAYSSE & ASSOCIÉS in case of late payment or cancellation of the sale, to cash the check or to use your bank account information to proceed to the payment, partial or total, of your purchases including the fees, taxes and duties to be paid by the buyer, possibly increased by the delivery charges and the late payment interest as specified below («Default of payment»). • The usual way to bid consists in attending the sale on the premises. FRAYSSE & ASSOCIÉS reserves its right to refuse access to the sales room for legitimate reasons. • Any bidder may bid by telephone for lots with an estimate of more than 1,000 Euros or make a purchase order in writing (regardless of the estimate). To this effect, the bidder must complete a form at least two days before the sale, accompanied by a bank statement or bank details, or a guarantee in the form of a signed check made out to SARL FRAYSSE & ASSOCIÉS or a credit card imprint signed by the bidder for an amount of 30% of the low estimate of the lot(s). For certain sales, different guarantees may be required. If the buyer does not obtain the lot, FRAYSSE & ASSOCIÉS will destroy the check, the bank details or the credit card imprint or return the guarantee within 72 hours after the sale. • Bids made by telephone are recorded. Bidders cannot object to these recordings and to their use for the verification of bids and in case of dispute. The recordings are kept until the price is paid, except in case of a dispute. • The «live sales» broadcast on the Drouot website (www.drouot.com) in real time allow bidders to bid remotely during the sale. Bidders wishing to place a remote bid must register in advance and accept the terms of use of this platform. • FRAYSSE & Associés takes care without charges of bids by telephone and purchase orders. FRAYSSE & Associés cannot be hold liable in case of problems of telephone contact, malfunctioning of Internet or of Drouot or Interenchères, nor in case of mistakes or omissions in the performance of purchase orders and bids. The present general sales conditions prevail over the conditions of use of Drouot and Interenchères for online bids. • In case of two identical purchase orders, the purchase order made first shall have priority. In case a bid is made in the sales room for an equivalent amount of a purchase order, the bidder who is present in the sales room shall have the priority. 3 - The auction process and the adjudication • FRAYSSE & ASSOCIÉS conducts the auction sales at their discretion and ensures that the liberty of auction is respected as well as the equality between all bidders, in accordance with established practices. FRAYSSE & ASSOCIÉS reserves the right to refuse any bid, to organize the bidding in the most appropriate manner, to withdraw any lot from the sale, to combine, to divide lots or change their order. • In case the seller has stipulated a reserve price, FRAYSSE & Associés reserves the right to bid on behalf of the seller until the reserve price has been reached. The reserve price cannot exceed the minimum estimate mentioned in the sale catalogue or modified publicly before the sale. The reserve price is confidential and does not correspond to the starting price of the auction. • FRAYSSE & ASSOCIÉS has the discretion to decide on the starting price of the auction and the level of the auction increments. In the absence of a reserve price and in the absence of a bid, FRAYSSE & ASSOCIÉS may decide at its own discretion to announce downward bids, and in the event of a bid to continue with upward bids. • Subject to the decision of the person conducting the sale on behalf of FRAYSSE & ASSOCIÉS, the highest and last bidder will be declared the successful bidder (buyer) by the «blow of the hammer» followed by the verbal indication «adjudicated», whether the hammer price is equal to or higher than the possible reserve price. As soon as the adjudication is pronounced, the sale contract is formed between the seller and the successful bidder and the goods are under the full responsibility of the successful bidder. However, in the event of a dispute, FRAYSSE & ASSOCIÉS, by a discretionary decision which cannot be contested, may designate the successful bidder, cancel the sale, or put the lot back up for auction immediately or in a later sale. In the event that the auctioneer admits that two bidders made a bid simultaneously for the same amount, the lot will immediately be offered again for sale and all potential buyer will be entitled to bid again. • The retraction period (L 121-18 of the Consumer Code) is not applicable to public auctions, even for persons who bid online. • FRAYSSE & ASSOCIÉS is authorized to mention on the official record of the sale all information provided for by the buyer before the sale. The buyer will be hold liable for any false declaration. 4 – Payment of the hammer price and auction fees, taxes and duties • The Sale is made in cash and in Euros. The buyer commits him/herself to pay personally and immediately the hammer price and the fees and costs which are at his/her expense and any taxes and duties which could be due. A bill of sale valid as an invoice and proof of the sale contract will be given to the successful bidder. The buyer will have to give or confirm immediately his/her identity, domicile and bank references. • In addition to the hammer price, the buyer will have to pay for each lot the following fees : The standard rate is 27 % including VAT (22,5 % without VAT) and for books 22 % including VAT ( 20,85% without VAT)³. The commission rate for goods sold on DROUOT or INTERENCHÈRES during «live auctions» is 29% including tax and for books 24% including tax). • The Buyer shall also pay the following taxes or duties, if any: - Import VAT on lots temporarily admitted to France from countries outside the European Union is indicated in the catalog by the symbol *. The import VAT is currently 5.5% of the auction price for works of art, collectors’ items and antiques. - VAT (20% or 5.5%) on the auction price if the item is sold outside the margin scheme by professionals established in the European Union, indicated in the catalog by the symbol Ø - The right of resale for the goods indicated in the catalog by the symbol ∆: The resale right for the benefit of artists who have been dead for less than 70 years or their heirs (copyright) applicable from an auction price of 750 €. The rate currently in force is : 4% between 0 and 50,000 €, 3% between 50,000.01 € and 200,000 €, 1% between 200,000.01 € and 350,000 €, 0.5% between 350,000.01 € and 500,000 €, 0.25% for the bracket beyond, of 500,001 €, with a ceiling of 12,500 €. FRAYSSE & ASSOCIES may withhold the droit de suite until the expiration of the statute of limitations for the recovery of this right. FRAYSSE & ASSOCIÉS will pay the resale right to the collecting agency. • The buyer may pay by the following means: - Cash: maximum 1,000 Euros including fees and costs for French residents, maximum 15,000 Euros including fees and taxes for non professional foreigners upon presentation of their identity papers and a proof of their fiscal residence; - By check upon presentation of identity papers currently valid: in case of payment with a non certified check, only the cashing of the check is considered to be payment - By bank transfer: all costs and fees are for the buyer and will be invoiced - By credit card: VISA and MasterCard only : Any transaction or processing fees associated with credit card payments will be billed to the buyer. - Foreign checks are not accepted. If you are an online bidder, you authorize FRAYSSE & ASSOCIÉS to use your credit card imprint to proceed to the payment, partial or total, of your purchases, including fees, taxes and duties to be paid by the buyer. • Refund or cancellation of VAT: professional buyers established in another European Union Member State may obtain a refund or cancellation of VAT, provided that they supply their intercommunity VAT number and proof of export of the goods to this other Member State according to the rules in force, within a maximum period of one month from the date of sale. FRAYSSE & ASSOCIÉS will deduct 50 € of management fees from the amount of VAT to be refunded. 5 – Collecting of purchases and transfer of property right and risks • No lot shall be delivered to buyers before the full payment of fees, costs, tax and duties which are due. The auctioned lot will remain the property of the seller until full payment of the amounts due. • In case of payment with a non certified check or by bank transfer, the delivery of the goods shall be differed until final cashing of the amounts. • From the moment of purchase on auction, the goods are under the entire responsibility of the buyer. The lot should to be insured by the buyer immediately after the purchase. The buyer will have no recourse against FRAYSSE & ASSOCIÉS in case of theft, loss or deterioration of the lot after the purchase, or if the compensation he will receive from the insurer would be insufficient. • For sales at the Hôtel de Drouot, the lots shall be collected at the storage place of the Hôtel Drouot or in the absence of withdrawal on the day of the sale at the furniture storage TSE (Transports services enchères, 44 Rue Louis David, 93170 Bagnolet - Tel 01.49.9302.90 according to their rates in force). Only fragile or very valuable items shall be collected within a delay of 7 days at the premises of FRAYSSE & Associés or at the specialized warehouse of which the address shall be given to the buyer. • In any event, all costs for storage and shipping are under the entire responsibility and at the expense of the buyer and will be billed directly either by the Hôtel Drouot, either by the warehouse, according to their rates in effect. The Auction house cannot be hold liable for storage of goods. FRAYSSE & ASSOCIÉS may invoice the buyer for costs of storage, handling and shipping incurred on behalf of the buyer since the date of the sale. 6 – Default of Payment • In case the buyer does not pay within a delay of three months from the date of auction and after a formal notice remained unsuccessful, on the request of the seller the item will be put on sale again on irresponsible bidding by the defaulting bidder (« folle enchère ») without prejudice to the damages due by the latter. • If the seller does not make this request within three months from the date of the auction, FRAYSSE & ASSOCIÉS is empowered to act in the name and on behalf of the seller in order, at the seller’s or FRAYSSE & ASSOCIÉS’ discretion, either to declare the sale automatically cancelled or to sue the successful bidder for the execution and payment of the said sale, without prejudice to any damages due from the defaulting bidder. • In case the Buyer does not pay all amounts due within a delay of three months or in case of annulment of the sale by a Court decision, auction fees remain due by the Buyer. • In such case FRAYSSE & ASSOCIÉS is authorized to cash the check given as a guarantee or to charge the bank account of the defaulting Buyer with the amount corresponding to the guarantee required in application of the sales conditions. The amount will be affected pro rata to the Seller and to FRAYSSE & ASSOCIÉS to indemnify totally or partially their losses caused by the failure of the Buyer, without prejudice of complementary indemnification due. • In any event, FRAYSSE & ASSOCIÉS reserves its right to claim from the defaulting buyer -Interests equal to the key rate of the European Central Bank on the 1st of January or July, increased by 10 points ; - The reimbursement of extra costs resulting from the failure to pay, including storage, transport, catalogue, legal fixed recovery costs and any additional recovery costs , etc. …; - Buying fees and costs and the loss corresponding to the Seller’s fees and costs suffered by FRAYSSE & ASSOCIÉS; - The payment of the difference between the initial hammer price and • either the hammer price of the re-sale on « folle enchères » if it is lower, as well as the costs relating to the re-sale, • or the low estimate of the item, if the sale is rescinded as of right. • FRAYSSE & ASSOCIÉS also reserves its right to make compensation by offsetting any amounts due by the defaulting seller and/or to exercise a right of retention on other goods that the successful bidder has purchased in the same sale or has entrusted for sale to FRAYSSE & ASSOCIÉS. • FRAYSSE & ASSOCIÉS reserves its right to exclude from any of its future sales, a defaulting buyer or any bidder who does not comply with the present general sale conditions. 7 – Legislation concerning Cultural Goods • The French State is entitled to exercise a pre-emption right on art works pursuant to the rules set forth in Article L 321-9 of the Code of Commerce, right by which the State is subrogated to the buyer. The declaration that the State intends to use this right is made to the Auctioneer or Auction house after the hammer stroke. FRAYSSE & ASSOCIÉS cannot be hold liable for the conditions of the pre-emption by the French State. • The export of certain cultural goods : the export is subject to a certificate authorizing the free movement of cultural goods and an export license. The certificate can be refused to a property considered as national treasure by the competent authorities. FRAYSSE & Associés and/or the seller cannot be hold liable in case the authorities refuse the certificate. The delay or refusal to obtain export authorizations can in no case justify either the cancellation or the resolution of the sale, nor a delay in the payment of the sums due. • Items composed of materials from protected species: Buyers are advised that many countries require a special permit (CITES permit) or (even with such a permit from another country) prohibit the import, export, possession, or transportation of items made entirely or in part (regardless of percentage) of materials from endangered and/or protected species of fauna and flora (including items containing ivory, tortoise shell, crocodile or ostrich skin, and certain species of coral, as well as Brazilian rosewood, etc.) ). The buyer should inquire before the sale about the conditions for importing such goods into the country of destination.The delay or refusal to issue import, export, detention or transport permits and authorizations shall not in any case justify either the cancellation or the resolution of the sale, or a delay in the payment of the sums due. 8 - Intellectual property rights • The sale of a lot does not imply the transfer to the buyer of the intellectual property rights of the artist and his beneficiaries on this good. • Any reproduction of texts, illustrations or photographs appearing in the sales catalogs, advertisements, documents and on the website of FRAYSSE & Associés without its prior authorization is formally forbidden and exposes its author to legal proceedings in application of the Intellectual Property Code. 9 – Applicable Law and Jurisdiction • Pursuant to article L. 321-17 of the French commercial Code, civil liability proceedings relating to voluntary and judicial auction sales are subject to a five-year limitation period starting from the date of the auction. • Any dispute relating to the present sale conditions and to all sales shall be governed exclusively by French Law and shall be submitted to the jurisdiction of the competent Court of Paris, whatever the place of residence of the seller or the buyer. • In order to settle a dispute that has arisen after the sale between the seller and the buyer, FRAYSSE & ASSOCIES reserves its discretional right to buy the good(s) from the Purchaser and to resell it (them) on its own behalf, pursuant to the conditions set forth in Article L 321-5 II of the Code of Commerce. • For any dispute with an operator of a voluntary auction sale, a complaint may be filed with the “Commissaire du Gouvernement” of the “Conseil des Ventes Volontaires de Meubles aux Enchères publiques”, by post (19 avenue de l’Opéra, 75001 PARIS) or via Internet (www.conseildesventes.fr). • The present general conditions of sale on auction are a translation of the French version for information purposes only. Only the French version is legally binding. 10 - Collection and protection of personal data • In the frame of its auction, private treaty sale, marketing and service provision activities, FRAYSSE & ASSOCIÉS may collect personal data from sellers and bidders, including in particular by recording video images, telephone conversations or electronic messages. FRAYSSE & ASSOCIÉS may use such personal data to comply with its legal obligations and to carry out its activity, in particular for commercial and marketing purposes.
